Accepting these terms

By creating a Zentrix Cloud account or using any Zentrix Cloud service, you agree to these Terms of Service. “Zentrix Cloud,” “we,” “us,” and “our” refer to the applicable Zentrix Cloud contracting party; “you” refers to the Zentrix Cloud user or the business using the service.

Zentrix Cloud provides tools to build and customise online stores and cloud applications; sell online, on social channels, marketplaces, and in person; and manage products, inventory, payments, fulfilment, operations, marketing, and customer relationships. New features added to the services are also subject to these terms.

You must also read and accept the policies and supplementary terms that apply to your use, including our Privacy Policy, Acceptable Use Policy, API terms, and Data Processing Addendum where applicable.

Account terms

To use the services, you must register for an account and provide complete, accurate information such as your legal name, business address, telephone number, and a valid email address. We may refuse an application or cancel an account at our discretion.

You must be at least 18 years old or the age of majority where you live. The services are for business activity, not personal, household, or family use. You are responsible for monitoring the primary email address on your account and for protecting account credentials.

You may not reproduce, resell, reverse engineer, circumvent technical limitations, or use automated means to access or monitor the services without our written permission.

Account activation and payments

The person opening an account is the account owner, unless they are registering on behalf of an employer, in which case the employer is the account owner. Account owners may create staff accounts and are responsible for their permissions and activity.

We may provision payment accounts and checkout options, including Zenso and supported third-party payment services. You are responsible for activating, configuring, managing, or removing payment options in your administrative console, and for complying with the terms of applicable third-party providers.

Domains purchased through Zentrix Cloud may renew automatically while your account remains active unless you turn off auto-renewal or do not maintain a valid payment method.

Zentrix Cloud rights

Service availability and features may vary by user and jurisdiction. We may modify, suspend, remove, or refuse access to services or materials where permitted by law and these terms.

We may request information to resolve account ownership disputes and may suspend an account while a dispute is being resolved. Abuse, threats, or attempts to interfere with the services may result in suspension or termination.

Your responsibilities

You are responsible for your store or project, its materials, the goods and services you sell, and transactions with your customers. This includes product information, pricing, taxes, refunds, returns, fulfilment, customer service, legal disclosures, and regulatory compliance.

You must publish clear contact information, terms of sale, refund policies, and shipping policies. You are the merchant of record for sales made through your store and must comply with applicable laws and third-party rights.

Fees and taxes

You must maintain a valid authorised payment method for subscription, transaction, and other applicable fees. Subscription fees are billed in advance on recurring billing dates; invoices are available through your account and primary email address.

Fees do not include applicable taxes. You are responsible for determining, collecting, reporting, and remitting taxes and charges associated with your sales and use of the services. Zentrix Cloud does not provide refunds unless required by applicable law.

Confidentiality

Each party must use the other party's non-public business, technical, customer, financial, and proprietary information only as necessary to perform obligations under these terms, except where disclosure is permitted by law or the information is already public through no breach of these terms.

Liability and indemnification

To the extent allowed by law, Zentrix Cloud and its suppliers are not liable for indirect, incidental, special, consequential, exemplary, or similar damages, including losses of profits, goodwill, data, or business interruption. The services are provided on an “as is” and “as available” basis to the extent permitted by law.

You agree to indemnify Zentrix Cloud and its affiliates, partners, officers, employees, and suppliers against claims arising from your materials, your store, your use of the services, or a breach of these terms.

Intellectual property and materials

You keep ownership of the materials you provide to Zentrix Cloud. To operate, provide, improve, and promote the services, you grant us a worldwide, non-exclusive, transferable, sublicensable, royalty-free licence to host, use, store, reproduce, modify, display, and distribute those materials as needed.

You confirm that you have the rights needed to provide the materials. Zentrix Cloud may review or remove materials that violate these terms or applicable law. These terms do not grant you rights to Zentrix Cloud intellectual property except as expressly stated.

Additional services

Additional services may include POS, shipping, SMS, email, themes, apps, integrations, beta features, tracking tools, gift cards, store credit, and checkout extensions. Your use of these services may be subject to supplementary terms, third-party terms, and applicable privacy and consumer protection requirements.

Privacy and data protection

Our handling of your personal information is governed by our Privacy Policy. The collection and processing of customer personal data is also subject to the applicable data processing terms.

Where payment card data is processed through our services, we apply applicable PCI DSS obligations. If you independently store, process, or transmit payment card data, you must also maintain the security and compliance required of you.

Term and termination

These terms begin when your registration is completed and continue until terminated by you or us. You may cancel an account by contacting Zentrix Cloud Support and following the applicable instructions. We may suspend or terminate access where permitted by these terms or law. Fees outstanding at termination remain payable.

Changes and governing law

We may update these terms from time to time and will give reasonable advance notice of changes that materially adversely affect your use where required. Continuing to use the services after updated terms take effect means you accept them.

These terms are governed by the laws of Sri Lanka. The parties submit to the exclusive jurisdiction of the courts of Sri Lanka for disputes arising from these terms.
